# ALPLINE DIRECT SELLER AGREEMENT
Reference: ALP/LEGAL/DSA/2026/V1.0
## 1. Parties and independent status
This agreement is between Alpline Health Care Pvt. Ltd. (“Company”) and the approved Direct Seller identified in the account record. The Direct Seller acts independently and is not an employee, franchisee or agent authorised to bind the Company.
## 2. Free registration and product-led activity
Registration carries no joining or entry fee. Recruitment, placement, team size or purchase of a starter pack does not itself create income. Benefits may arise only from eligible, invoice-backed product business under the published, effective compensation plan.
## 3. Approval and identity
Business activity requires accurate registration, KYC, Company approval and a permanent seller ID. The seller must keep credentials secure and must not create false, duplicate or proxy identities.
## 4. Conduct and representations
The seller may use only current Company-approved product literature, prices, policies and income disclosures. No seller may make a cure, treatment, guaranteed-result, guaranteed-income, investment-return or recruitment-income claim.
## 5. Orders, delivery and consumer rights
Orders, invoices, tax, delivery, cancellation, return, refund and grievance handling follow the Company’s published policies and applicable law. Returns may reverse associated BV and unpaid benefits. Posted historical records remain auditable.
## 6. Compensation
Eligibility depends on the effective plan version, verified product BV, KYC, status, rank, qualifying period, active direct teams, caps, returns and batch funding. Pool percentages are Company liability allocations and are not automatically the personal rate of every seller. Income is variable and never assured.
## 7. Privacy and confidentiality
Personal data may be used only for stated business, statutory, security and support purposes. A seller must not export, publish or misuse customer, downline or KYC data.
## 8. Complaints and cooperation
The seller must cooperate with product recall, regulator, tax, audit, grievance and consumer-remedy processes. Complaints may be submitted through the published Grievance Officer route.
## 9. Suspension and termination
The Company may investigate, restrict or terminate activity for fraud, misleading claims, unauthorised collections, inventory loading, identity misuse or other material breach, with recorded process and applicable remedies.
## 10. Versioning and governing law
New terms apply prospectively after lawful publication and required acceptance. Existing invoices and posted payouts retain their original plan and evidence. Indian law and the competent courts stated in the executed Company copy apply.
This controlled text is not effective merely because it appears in software. It becomes effective only after authorised Company execution, qualified legal review, upload of the signed PDF and governed publication.
